Scope of Position

We are recruiting for a Corporate/Securities Clerk to join our Corporate Services Team.  Working under the supervision of the Director, Corporate Services, the successful candidate will provide support to the firm and its clients.

Summary of Key Responsibilities:  

  • Prepares corporate documents to incorporate and organize Ontario and Federal companies
  • Prepares documents related to amalgamations, continuances, amendments, dissolutions and revivals
  • Prepares and attends to extra-provincial registrations, limited partnership registrations and business name registrations
  • Prepares documents relating to corporate reorganizations, including closing agendas and drafting of share capital provisions
  • Conducts corporate and due diligence reviews
  • Conducts minute book reviews and updates
  • Attends to general corporate work, including government filings
  • Attends to internal and external inquiries in regard to corporate records and information contained in minute books
  • Performs a variety of routine legal and administrative duties under the supervision of the Director, Corporate Services
  • Familiarity with Canadian securities regulatory filings for public companies on SEDAR and TSX
  • Familiarity with filing of insider reports on SEDI

Summary of Qualifications:

The successful candidate for this role will have achieved a Law Clerk Diploma or Institute of Law Clerks of Ontario Certificate (or equivalent) and a minimum of 4-5 years’ experience in Corporate and Securities Law.  We are looking for an individual who is self-motivated with a strong work ethic and a flexible attitude.  This person must be able to establish priorities, work well under pressure, work efficiently with minimum supervision and be a good team player, as well as be able to deal with clients directly in a professional manner.  This person will also have a thorough knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law. In addition to excellent attention to detail and communication skills, strong computer literacy and advanced Microsoft Office suite skills, as well as familiarity with Corplink, Cyberbahn, OnCorp, ESC, SEDI and SEDAR filings and other similar services, is preferable.
