Corporate Law Clerk

We are currently seeking a Corporate Law Clerk to join our Brooklin location. This is a full-time position working within our office; there is no option for remote working.  We offer a family-like atmosphere with a strong support system for learning and growing in your new role.

 

Responsibilities include:

 

  • Initial communication with clients and completing file opening processes;
  • incorporation, amendments, amalgamations and dissolutions of Ontario and federal corporations;
  • completing business name, partnership and limited partnership registrations in Ontario;
  • the preparation and organizing of minute books, including the drafting of organizing resolutions and resolutions of a general corporate nature, such as the declaration of dividends, share redemption, increase or decrease of stated capital, share issuance, share transfer, change of directors, change of officers, change of registered office, and annual proceedings;
  • conducting minute book reviews of corporate records and providing a detailed report including recommendations for the rectification of deficiencies;
  • Assistance on transactional work: coordinating closings; liaising with clients, lawyers and banks;
  • providing administrative support as required to the corporate department;
  • and other maintenance tasks and filings.

Requirements:

  • completion of a College Law Clerk Diploma or equivalent;
  • a minimum of five years experience as a corporate law clerk;
  • technical proficiency in Microsoft Office applications: Word, Outlook and Excel;
  • experience with Fast Company, PPSA registries, eCore, Cyberbahn, along with NUANS Searches;
  • strong attention to detail and precision;
  • diligent, organized, methodical work ethic.
