Oxford Properties is looking for a highly motivated law clerk to join our Oxford Legal team as Manager, Legal in Toronto. In this role you will be responsible for providing corporate/real estate support and partnership to our global functions across the organization including Corporate and Legal Services, Accounting, Finance, Tax, and the Corporate Secretariat. To qualify for this role you will have at least 7-10 years’ experience and demonstrated success in a similar role, preferably at a Property Management/Real Estate Investment Company with exposure to both Canadian and US investments.

 

As Manager, Legal on the Oxford Legal team, you will be responsible for:

  • Providing general corporate and real estate clerk support to lawyers in connection with global investment, development and internal/external financing transactions;

  • Reviewing tax steps memos, preparing and reviewing closing checklists and related resolutions, directions, agreements, for all Canadian, US, UK and AsiaPac flow of funds transactions; maintaining draft closing agendas/schedules for North American transactions and ensuring compliance with timetables;

  • Drafting and reviewing transaction closing documentation (authorizing resolutions, officer’s certificates), reports and other matters relating to North American transactions; reviewing transaction closing documentation drafted by outside counsel;

  • Liaising with opposing counsel, negotiating transaction documents; communicating with outside counsel to ensure/facilitate exchange of documentation amongst the transaction team; ensuring adherence to closing timetable;

  • Communicating with transaction team members from other Oxford departments (Accounting, Tax, Finance) to coordinate approvals, closing documentation and execution; preparing closing packages for delivery to OMERS Secretariat and outside counsel post transaction;

  • Preparing corporate structure charts to accurately identify voting and participating interests; timely reporting and updating of information for all Oxford parent and subsidiary companies in Canada and the US;

  • Responsible for reporting changes to OMERS for corporate organizational charts for Canada, US and UK charts on a quarterly basis; liaising with transaction lawyers, tax and outside counsel to ensure changes are up to date and timely;

  • Receiving and reviewing entity management and reporting-related correspondence; ensuring timely distribution to appropriate Oxford/OMERS parties; being a contact for all Auditor inquiries, arranging for copies of documents and conducting corporate searches; providing legal support as appropriate for corporate vendor maintenance and accounts;

  • Drafting correspondence in connection with third party approvals (co-owners, trustees etc.) for North American transactions;

  • Receiving and reviewing memos from Accounting for monthly fundings, distributions and contributions from UK, Canadian and US accounting groups;  working with OMERS Secretariat to ensure closing checklists and resolutions are accurately and properly documented;

  • Being a contact and preparing KYC packages for the Finance Group (Banking); preparation of banking resolutions and related documents and support.

 

To succeed in this role, you:

  • Have completed a law clerk program recognized by the Institute of Law Clerks of Ontario and are a member in good standing with the Institute of Law Clerks of Ontario;

  • Have at least 7-10 years’ experience preferably in a corporate environment  or law firm;

  • Possess and demonstrate strong working knowledge of Canadian corporate statues (i.e., Ontario Business Corporations Act, Canada Business Corporations Act etc.), Corporate Governance policy and procedures, Personal Property Security Act and Securities Transfer Act;

  • Familiarity/experience with cross border transactions, particularly US-Canada, will be considered an asset;

  • Experience with real estate documentation and programs (e.g., title registration systems, transfer tax matters) will be considered an asset

  • Possess excellent written and verbal communication skills combined with the ability to communicate effectively across all levels;

  • Are proficient with computers, including Microsoft Office (Word, Outlook, One Note, Teams, Visio and Excel);

  • Will demonstrate strong attention to detail;

  • Have excellent organization and ability to work independently.
