EY Law LLP’s Business Law Services practice draws on EY’s vast global legal network to support our Canadian clients in navigating the complexities of today's business environment. The Business Law Services practice can assist on a wide range of commercial law issues in numerous industries. Our team can provide you with corporate and partnership law advisory services, including corporate re-organizations, mergers and acquisitions (and provide due diligence in connection therewith), financings, joint ventures, transfer pricing, drafting commercial contracts, policies and procedures.
EY Law LLP is seeking an experienced Law Clerk.
Responsibilities:
- Maintain corporate records for various clients, including minute books, annual resolutions and ancillary documentation (including associated memos and follow-up)
- Prepare various provincial filings and ensure they are filed on a timely basis with the appropriate registry
- Be able to e-file, as applicable, filings with each of the above registries
- Conduct and summarize corporate & regulatory record searches as needed
- Support EY Law’s lawyers in the drafting and/or reviewing of corporate documents related to corporate transactions or reorganizations
- Taking minutes of internal meetings & follow-up items
- Corporate secretarial function handling multiple files, including but not limited to file creation, setting up reminders, coordinating with central team/clients and completion of annual compliance
- Applicable software experience: CorpLink and Cyberbahn (including searching and filing); Microsoft Office (Word, Excel, PowerPoint, Outlook); PDF converter;
- Other special projects and tasks, as assigned
Qualifications:
- 2 – 5 years of corporate clerking or paralegal experience is required
- Current knowledge of Business and Tax law requirements associated with maintenance of corporate records and appropriate filings
- Previous experience using dedicated corporate database software an asset
- Strong organizational skills and attention to detail
- Motivated and proactive, with ability to prioritize and effectively meet deadlines
- Ability to problem solve and work independently
- Positive outlook, flexible attitude, enthusiasm and team player
- Professional approach & excellent oral and written English communication skills
- English and French bilingualism an asset
