Position Overview:

Reporting to the Director, Corporate Governance, the Law Clerk will assist with managing matters and processes relating to GWL’s Board and Committees as well as corporate governance and continuous disclosure matters.

Responsibilities:

  • Assist with the coordination of Board, Committee and Shareholder meetings.
  • Assist with the preparation of meeting agendas.
  • Coordinate with various stakeholders to obtain meeting material.
  • Prepare meeting minutes, resolutions, and other related documents.
  • Efficiently use Diligent Boardbooks to post meeting materials and send related communication to Directors.
  • Assist with a variety of corporate and securities filings.
  • Assist with the preparation of continuous disclosure documents (e.g., AIF, Management Proxy Circular, etc.).
  • Assist with updating relevant policies and procedures.
  • Assist with corporate governance matters.
  • Be involved in a variety of special projects.
  • Provide administrative support in connection with the above activities.

 

Qualifications:

  • Minimum 3-5 years' experience in a related role (e.g., corporate secretarial) at a major financial institution or public Canadian company is an asset.
  • Knowledge of corporate secretarial regulatory requirements and “best practices” as well as experience with Diligent Boardbooks is an asset.
  • Ability to work in a highly organized manner where attention to detail, accuracy and confidentiality are critical.
  • Ability and confidence to interact at all levels of the organization, including with Directors and senior executives.
  • Self-motivated, proactive and professional individuals will excel in this role.
  • Excellent time management skills with the ability to juggle multiple priorities.
  • Excellent verbal and written communication skills.
