Corporate Commercial Law Clerk

Senior Corporate / Commercial Law Clerk
Location: Toronto – Yonge & Sheppard area
Work Model: Hybrid (2–3 days in office)

A well-established corporate/commercial practice is seeking a Senior Corporate / Commercial Law Clerk with strong transactional experience to support a busy lawyer practice focused primarily on corporate/commercial matters.

We are looking for a clerk who is technically strong, highly organized, proactive, and capable of taking ownership of files from start to finish.

Responsibilities

  • Manage corporate/commercial files from initial instructions through closing and post-closing reporting

  • Prepare and coordinate closing documentation for share and asset sale/purchase transactions

  • Draft corporate documents for:

    • share purchase transactions

    • asset purchase transactions

    • reorganizations

    • section 85 and section 86 rollovers

    • amalgamations

    • incorporations, amendments, dissolutions, and related corporate matters

  • Review, audit, and rectify minute books

  • Conduct and summarize corporate searches, PPSA searches, and due diligence

  • Identify potential issues and red flags on files

  • Liaise with clients regarding routine corporate and administrative matters

  • Coordinate with counsel, regulators, and service providers

  • Prepare final reporting and closing binders

  • Maintain precedents and support internal documentation updates

Qualifications

  • Minimum 5 years of experience in a corporate/commercial law clerk role within a law firm environment

  • Significant experience supporting transactional corporate work, including M&A matters

  • Strong understanding of OBCA, CBCA, Business Names Act, and basic Securities Act requirements

  • Experience with Cyberbahn, ESC, and OnCorp

  • Excellent drafting, organizational, and file management skills

  • Strong attention to detail and ability to work independently

  • Professional, team-oriented, and able to manage multiple deadlines in a fast-paced practice

Preferred Qualifications

  • Law Clerk Diploma

  • ILCO Fellowship certification or membership considered an asset

This role is best suited to a senior law clerk who brings sound judgment, technical depth, and a strong sense of accountability to complex corporate/commercial files.
